TRADESPACE TERMS OF SERVICE

PLEASE READ THESE TERMS CAREFULLY BEFORE USING TRADESPACE

1. ACCEPTANCE OF TERMS

These Terms of Service (“Terms”) constitute a legally binding agreement between you and GoTrade, LLC, an Arizona limited liability company operating under the trade name “Tradespace” (“we,” “us,” “our,” or “Company”). These Terms govern your use of our cloud-based trading platform, website (tradespace.net including sub-domains), mobile applications, and all related services (collectively, the “Platform” or “Services”).

BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM, YOU AFFIRM THAT:
– You are at least 18 years of age and have the legal capacity to enter into binding contracts
– You have read, understood, and agree to be bound by these Terms
– You will comply with all applicable federal, state, and local laws and regulations
– You accept our Privacy Policy, which is incorporated into these Terms by reference

If you do not agree to these Terms, you must immediately cease all use of the Platform.

2. PLATFORM OVERVIEW AND SERVICE DESCRIPTION

Tradespace is a comprehensive cloud-based trading solution designed for active traders and investors. Our Platform provides:

CORE SERVICES:
– Cloud Copy Trading: Automated trade replication across multiple broker accounts
– Risk Management Suite: Real-time position monitoring, P&L tracking, violation detection, and automated protection mechanisms
– Account Dashboard: Unified view of connected trading accounts with live performance metrics
– Market Data Integration: Real-time quotes, charts, and market information
– Broker Connectivity: Seamless integration with Tradovate, Rithmic, and other supported platforms

The Platform operates as a software-as-a-service (SaaS) solution hosted on Amazon Web Services (AWS) infrastructure. All trade execution occurs through your connected broker accounts; Tradespace does not hold customer funds, execute trades directly, or act as a broker-dealer.

3. KEY DEFINITIONS

For purposes of these Terms, the following definitions apply:

“Account” means your registered user profile on the Platform, including your credentials, settings, and associated data.

“Broker Connection” means the authorized link between your Tradespace Account and your external trading account(s) maintained with third-party brokers.

“Copy Trading Configuration” means your settings for automated trade replication between designated leader and follower accounts.

“Platform” or “Services” refers to all Tradespace software, applications, APIs, websites, and related technologies.

“Subscription” means your paid membership plan that grants access to premium Platform features.

“User Content” includes any data, information, configurations, or materials you submit, upload, or create using the Platform.

“We,” “Us,” “Our,” or “Company” refers to GoTrade, LLC d/b/a Tradespace.

“You” or “Your” refers to the individual or entity that has registered for and uses the Platform.

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation
To access the Platform, you must create an Account by providing accurate and complete registration information, including your full name, valid email address, and a secure password. You are responsible for maintaining the accuracy of your Account information and must promptly update any changes.

4.2 Account Security and Unauthorized Access
You are solely responsible for:
– Maintaining the confidentiality of your Account credentials
– All activities that occur under your Account, whether authorized or not
– Implementing appropriate security measures to prevent unauthorized access
– Immediately notifying us at support@tradespace.net if you suspect any unauthorized use

We reserve the right to suspend or terminate any Account that we reasonably believe has been compromised or is being used in violation of these Terms.

4.3 Account Restrictions
Each user may maintain only ONE Account. Creating multiple accounts to circumvent Platform limitations, trial restrictions, or subscription requirements is strictly prohibited and may result in immediate termination of all associated accounts.

You may not:
– Share your Account credentials with any third party
– Allow anyone else to access your Account
– Transfer or sell your Account to another person or entity
– Use another user’s Account without explicit permission

5. SUBSCRIPTION PLANS AND BILLING

5.1 Free and Paid Tiers
Tradespace offers both free and paid subscription plans. Free accounts have limited functionality and connection capacity. Paid subscriptions unlock premium features including expanded connection limits, advanced risk management tools, and priority support.

5.2 Payment Processing
All subscription payments are processed securely through Stripe, our third-party payment processor. By subscribing to a paid plan, you authorize us to charge your designated payment method on a recurring basis.

PAYMENT TERMS:
– Subscriptions are billed monthly in advance
– Billing cycles begin on the date your paid subscription activates
– Your payment method will be automatically charged each billing period until you cancel
– You must maintain valid, current payment information with Stripe
– Failed payments may result in suspension or termination of your subscription

5.3 Free Trial Terms
New users may be eligible for a free trial period of our paid subscription plans. Free trials are subject to the following conditions:

IMPORTANT TRIAL RESTRICTIONS:
– One trial per user, per payment method, per lifetime
– Trial duration as specified during sign-up (typically 7-14 days)
– Automatic conversion to paid subscription unless cancelled before trial expiration
– First billing occurs immediately upon trial-to-paid conversion
– Attempting to create multiple trials using different emails, payment methods, or identities violates these Terms and may result in immediate account termination and billing for unauthorized trial abuse

5.4 Subscription Changes and Cancellations
You may upgrade, downgrade, or cancel your subscription at any time through your Account settings.

CANCELLATION POLICY:
– Cancellations become effective at the end of your current billing period
– You retain access to paid features until the billing period expires
– No refunds for partial months or unused time
– Cancelled subscriptions do not auto-renew
– Reactivation requires setting up a new subscription
– Free trial cancellations prevent conversion to paid plan

5.5 Price Changes
We reserve the right to modify subscription pricing at any time. Price changes will:
– Take effect at the start of your next billing cycle after notification
– Be communicated to you at least 30 days in advance via email
– Not affect your current billing period
– Give you the option to cancel before the new pricing applies

Continued use of the Platform after price changes indicates acceptance of the new rates.

5.6 No Refunds Policy
ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE. We do not offer refunds or credits for:
– Partial subscription periods
– Mid-cycle cancellations
– Unused features or connections
– Dissatisfaction with the Platform
– Account termination due to Terms violations

In exceptional circumstances, we may, at our sole discretion, issue partial refunds subject to a 20% administrative processing fee.

6. PLATFORM USAGE AND ACCEPTABLE USE POLICY

6.1 License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business trading activities.

6.2 Prohibited Activities
You agree NOT to:

ACCOUNT MISUSE:
– Manage, trade, or make decisions for accounts owned by others (except with proper legal authorization)
– Operate as an unlicensed investment advisor or trading signal service
– Provide trading recommendations to third parties using our Platform

TECHNICAL ABUSE:
– Reverse engineer, decompile, or attempt to extract source code from the Platform
– Use automated scripts, bots, or scrapers to access the Platform
– Interfere with or disrupt Platform infrastructure or servers
– Bypass any security measures or access restrictions
– Engage in any activity that imposes unreasonable load on our systems

FRAUDULENT CONDUCT:
– Provide false, misleading, or inaccurate information
– Impersonate another person or entity
– Engage in any form of market manipulation
– Use the Platform for money laundering or other illegal purposes

HARMFUL BEHAVIOR:
– Upload viruses, malware, or malicious code
– Attempt to gain unauthorized access to other users’ accounts
– Violate any applicable laws, regulations, or third-party rights

6.3 Trading Compliance
You acknowledge and agree that:

REGULATORY RESPONSIBILITY:
– You are solely responsible for compliance with all applicable trading regulations
– You must comply with CFTC, SEC, FINRA, and other regulatory requirements
– You are responsible for all tax obligations related to your trading activity
– You will obtain any required licenses or registrations for your trading activities

BROKER REQUIREMENTS:
– You must comply with your broker’s terms of service and trading rules
– You are responsible for understanding your broker’s API usage policies
– Violations of broker terms may result in Platform access restrictions

7. CLOUD COPY TRADING: RISKS AND DISCLAIMERS

7.1 Copy Trading Functionality
Our copy trading feature automatically replicates trades from designated “leader” accounts to “follower” accounts based on your configured settings. This feature involves significant risk and requires careful oversight.

CRITICAL COPY TRADING WARNINGS:
– You are 100% responsible for all trades executed through copy trading
– Automated trade replication can result in rapid, substantial losses
– Technology failures, delays, or errors may cause missed or incorrect trades
– We strongly recommend testing with small positions before live trading
– You should actively monitor all copy trading activity

7.2 No Guarantees of Performance
Copy trading does NOT guarantee:
– Successful trade execution
– Matching of leader and follower positions
– Real-time synchronization
– Identical fills or pricing
– Profitability or positive returns

7.3 Technology Limitations
Copy trading relies on complex technology infrastructure including broker APIs, internet connectivity, and cloud services. We are not liable for:
– Broker API outages, downtime, or changes
– Network latency or connectivity issues
– Third-party service disruptions
– Execution delays or rejections
– Slippage or price discrepancies between accounts

7.4 Testing and Verification
Before using copy trading with real capital, you must:
– Thoroughly review and understand all configuration settings
– Execute test trades with minimal position sizes
– Verify that trades replicate as expected
– Monitor synchronization between leader and follower accounts
– Understand the impact of instrument conversions and sizing rules

8. RISK MANAGEMENT TOOLS: DISCLAIMERS AND LIMITATIONS

8.1 Risk Management Feature Overview
Tradespace provides various risk management tools including position monitoring, P&L tracking, drawdown limits, violation detection, and automated account protection. These tools are designed to assist your trading discipline, NOT to guarantee protection from losses.

8.2 Risk Management Limitations
Our risk management tools:
– Are provided for informational and automation purposes only
– Do NOT guarantee prevention of losses or limit violations
– May experience delays, errors, or failures
– Depend on accurate, real-time data from broker APIs
– Require your active oversight and monitoring

8.3 User Responsibility for Risk Management
YOU ARE SOLELY RESPONSIBLE FOR:
– Setting appropriate risk limits and parameters
– Monitoring your positions and account balances
– Ensuring risk rules align with your risk tolerance
– Verifying that automated protections function as intended
– Taking manual action if automated systems fail

8.4 No Fiduciary Duty
Tradespace is a technology tool, not a financial advisor. We do not:
– Provide investment advice or recommendations
– Manage your trading decisions or strategies
– Act as a fiduciary in any capacity
– Guarantee any level of performance or protection

9. MARKET DATA AND THIRD-PARTY INTEGRATIONS

9.1 Market Data Disclaimer
Market data provided through the Platform is sourced from third-party providers and is subject to:
– Delays (may not be real-time)
– Errors or inaccuracies
– Service interruptions
– Changes in availability or pricing

WE DO NOT GUARANTEE the accuracy, completeness, timeliness, or availability of any market data. You should not rely solely on Platform data for trading decisions.

9.2 Third-Party Services
The Platform integrates with third-party services including:
– Broker platforms (Tradovate, Rithmic, etc.)
– Payment processors (Stripe)
– Market data providers
– Cloud infrastructure (AWS)

We are not responsible for:
– Third-party service outages or performance issues
– Changes to third-party APIs or terms of service
– Data breaches or security incidents at third-party providers
– Compatibility issues resulting from third-party updates

10. INTELLECTUAL PROPERTY RIGHTS

10.1 Our Proprietary Rights
The Platform, including all software, algorithms, designs, trademarks, logos, and content, is owned by GoTrade, LLC and protected by United States and international intellectual property laws.

You acknowledge that we retain all right, title, and interest in:
– The Tradespace name, logo, and branding
– Platform source code and architecture
– Proprietary algorithms and trading logic
– Documentation, tutorials, and support materials

10.2 Your Content and Data
You retain ownership of all User Content you create or upload to the Platform, including:
– Trading configurations and settings
– Custom risk rules and parameters
– Personal information and account data

By using the Platform, you grant us a limited, non-exclusive license to:
– Store and process your User Content
– Use aggregated, anonymized data for Platform improvement and analytics
– Display your configurations within your Account

10.3 Feedback and Suggestions
If you provide us with feedback, suggestions, or ideas about the Platform (“Feedback”), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into our Platform without any obligation to you.

11. WARRANTY DISCLAIMERS

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES:
– MERCHANTABILITY
– FITNESS FOR A PARTICULAR PURPOSE
– NON-INFRINGEMENT
– TITLE
– QUIET ENJOYMENT

PERFORMANCE WARRANTIES:
– Uninterrupted or error-free operation
– Complete accuracy of data or calculations
– Compatibility with all devices or browsers
– Availability at all times
– Correction of all bugs or defects

TRADING PERFORMANCE:
– Profitability or positive returns
– Successful trade execution
– Matching between accounts in copy trading
– Prevention of losses through risk management tools

CRITICAL DISCLAIMER: Tradespace is a technology platform, NOT a financial service provider. We do not:
– Provide investment advice or recommendations
– Act as a broker, dealer, or investment advisor
– Guarantee any trading outcomes or performance
– Make any representations about the suitability of trading for your circumstances

12. LIMITATION OF LIABILITY AND INDEMNIFICATION

12.1 Trading Risk Acknowledgment
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

– Trading futures, securities, and derivatives involves SUBSTANTIAL RISK OF LOSS
– You may lose some or all of your invested capital
– Past performance does not guarantee future results
– Automated trading systems can amplify both gains and losses
– You are solely responsible for all trading decisions made using the Platform
– You have the knowledge, experience, and risk tolerance necessary for trading
– You should never trade with funds you cannot afford to lose

12.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW:

EXCLUDED DAMAGES:
GoTrade, LLC, its affiliates, officers, directors, employees, agents, and service providers SHALL NOT BE LIABLE FOR:
– Trading losses or missed profit opportunities
– Loss of data, configurations, or User Content
– Business interruption or lost revenue
– Reputational harm
– Indirect, incidental, consequential, punitive, or exemplary damages
– Any damages arising from third-party services or broker platforms

12.3 User Indemnification
You agree to DEFEND, INDEMNIFY, and HOLD HARMLESS GoTrade, LLC and its affiliates, officers, directors, employees, agents, and contractors from any and all claims, demands, lawsuits, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

– Your use or misuse of the Platform
– Your violation of these Terms
– Your violation of any applicable laws or regulations
– Your trading activities and decisions
– Your User Content or configurations
– Unauthorized access to your Account due to your failure to maintain security
– Claims by your broker or third parties related to your Platform usage

13. PLATFORM AVAILABILITY AND MODIFICATIONS

13.1 Service Uptime and Maintenance
While we strive to maintain reliable Platform operations, we do NOT guarantee continuous, uninterrupted availability. The Platform may be unavailable due to:

– Scheduled maintenance windows
– Emergency repairs or updates
– Third-party service outages (AWS, brokers, etc.)
– Internet or network connectivity issues
– Force majeure events

We will attempt to provide advance notice of scheduled maintenance when possible, but are not obligated to do so.

13.2 Platform Modifications
We reserve the right to:
– Modify, suspend, or discontinue any Platform feature at any time
– Update system requirements or supported brokers
– Change API integrations or data providers
– Impose new usage limits or restrictions

We will make reasonable efforts to notify users of material changes, but continued use of the Platform after such changes constitutes acceptance.

13.3 Beta Features and Development Status
The Platform is continually evolving. Some features may be labeled as “beta,” “experimental,” or “preview.” These features:
– May contain bugs or errors
– Are provided without additional warranties
– May be modified or removed without notice
– Should be used with caution in live trading environments

14. TERMINATION AND ACCOUNT CLOSURE

14.1 Termination by You
You may terminate your Account at any time by:
– Cancelling your subscription through Account settings
– Sending a termination request to support@tradespace.net
– Ceasing all use of the Platform

Upon voluntary termination:
– Your subscription remains active until the end of the current billing period
– You will not receive refunds for unused time
– You may lose access to certain data and configurations after the billing period ends

14.2 Termination by Us
We reserve the right to suspend or terminate your Account immediately, without prior notice or liability, if:

VIOLATION GROUNDS:
– You breach any provision of these Terms
– You engage in fraudulent or illegal activity
– You abuse trial policies or create multiple accounts
– You violate broker terms of service
– Your Account poses security risks to the Platform
– You fail to pay subscription fees when due
– You engage in abusive conduct toward our staff or other users

14.3 Effects of Termination
Upon Account termination (by either party):
– Your license to use the Platform immediately ceases
– We may delete your User Content, configurations, and Account data
– All outstanding fees become immediately due and payable
– Sections of these Terms that by their nature should survive (indemnification, limitations of liability, etc.) will continue to apply

15. DISPUTE RESOLUTION AND ARBITRATION

15.1 Informal Resolution Requirement
Before initiating any legal proceeding, you agree to first contact us at support@tradespace.net to attempt to resolve the dispute informally. Provide a detailed description of the dispute and your proposed resolution. We will attempt to resolve the matter within 30 days.

15.2 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Arizona and applicable United States federal law, without regard to conflict of law principles.

15.3 Jurisdiction and Venue
Any legal action or proceeding arising from these Terms or your use of the Platform must be brought exclusively in the state or federal courts located in Maricopa County, Arizona. You irrevocably consent to the jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

15.4 Class Action Waiver
YOU AND GOTRADE, LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Unless both parties agree otherwise in writing:
– No arbitration or proceeding will be joined with any other
– There is no right or authority to bring claims on behalf of the general public or other users
– No class arbitration, class action, or representative action may be maintained

16. REGULATORY AND COMPLIANCE MATTERS

16.1 Not a Financial Service Provider
IMPORTANT: GoTrade, LLC is NOT:
– A registered broker-dealer under the Securities Exchange Act of 1934
– A registered investment advisor under the Investment Advisers Act of 1940
– A Commodity Pool Operator (CPO) or Commodity Trading Advisor (CTA)
– A member of FINRA, SIPC, or the NFA
– Subject to regulatory oversight by the SEC or CFTC as a financial service provider

The Platform is a software tool that facilitates your independent trading activities. We do not handle customer funds, execute trades as principal, or provide personalized investment advice.

16.2 Your Compliance Obligations
You are solely responsible for:

REGULATORY COMPLIANCE:
– Determining whether your use of the Platform requires any licenses or registrations
– Complying with all CFTC, SEC, FINRA, and NFA rules applicable to your activities
– Understanding and following pattern day trader rules and margin requirements
– Meeting tax reporting and payment obligations for your trading activity
– Complying with anti-money laundering (AML) and know-your-customer (KYC) regulations

BROKER COMPLIANCE:
– Adhering to your broker’s terms of service and trading policies
– Understanding your broker’s API usage limitations
– Ensuring your automated trading complies with exchange rules

16.3 Sanctions and Export Controls
You represent and warrant that you are not:
– Located in, or a resident of, any country subject to U.S. trade sanctions
– Identified on any U.S. government restricted party list
– Prohibited from receiving U.S. exports under applicable laws

17. PRIVACY AND DATA HANDLING

Your use of the Platform is also governed by our Privacy Policy, available at [app.tradespace.net/privacy-policy]. Key points include:

DATA COLLECTION: We collect account information, trading data, usage analytics, and device information.

DATA USAGE: We use your data to provide Platform services, process payments, communicate with you, and improve our services.

DATA SHARING: We share data with service providers (Stripe, AWS, broker APIs) as necessary to operate the Platform. We do NOT sell your personal information.

DATA SECURITY: We implement industry-standard security measures, but cannot guarantee absolute security.

YOUR RIGHTS: You may access, correct, or request deletion of your personal information subject to certain limitations.

18. GENERAL PROVISIONS

18.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and GoTrade, LLC regarding the Platform and supersede all prior or contemporaneous communications, whether oral or written.

18.2 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. Any waiver must be in writing and signed by our authorized representative.

18.3 Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.4 Assignment
You may not assign, transfer, or delegate these Terms or your Account without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

18.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, or strikes.

18.6 Independent Contractors
No agency, partnership, joint venture, or employment relationship is created between you and GoTrade, LLC as a result of these Terms or your use of the Platform. You have no authority to bind GoTrade, LLC in any manner.

18.7 Notices
We may provide notices to you via email to the address associated with your Account, by posting on the Platform, or by other reasonable means. Notices to us must be sent to:

Notices are deemed received when sent via email or 5 business days after mailing.

18.8 Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights except as expressly stated herein.

19. MODIFICATIONS TO THESE TERMS

We reserve the right to modify these Terms at any time. When we make changes, we will:

NOTIFICATION PROCESS:
– Update the “Effective Date” at the top of this document
– Post the revised Terms on our website
– For material changes, send email notification to your registered address at least 30 days prior to the effective date

ACCEPTANCE OF CHANGES:
Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must immediately cease using the Platform and may cancel your subscription within the notice period to avoid being bound by the new Terms.
